1.Introduction and Acceptance
These Terms & Conditions ("Terms") govern access to and use of InCountryRepresentative.com (the "Platform") and the services made available through it (the "Service"), operated by Universal University Group Private Limited ("Universal University Group", "UUG", "the Company", "we", "us" or "our").
By creating an account, accessing, or otherwise using the Platform, you agree to be bound by these Terms and by our Privacy Policy for InCountryRepresentative.com, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Platform. Where you use the Platform on behalf of an agency or business, you confirm that you have authority to bind that agency or business to these Terms, and "you" and "Agent" in these Terms refer to both you individually and the agency or business you represent.

3.Definitions
- "Company", "UUG" means Universal University Group Private Limited.
- "Platform" means the InCountryRepresentative.com website and its associated account, application-submission and messaging functionality.
- "Service" means the services made available to Agents and, indirectly, to Students through the Platform, including account management and submission and processing of Student applications.
- "User" means any person who accesses or uses the Platform, including Agents and any Student who directly registers or accesses an account.
- "Agent" or "Representative" means an education agent, representative, or other authorised user who registers or operates an account on the Platform for the purpose of submitting Student applications.
- "Student" or "Applicant" means a prospective student whose personal information and application materials are submitted through the Platform, whether by the Student directly or by an Agent on the Student's behalf.
- "Institution" means a university, college, or other educational institution (or an organisation authorised to process applications on its behalf) to which a Student's application may be submitted.
- "Content" means information, documents, data and materials submitted, uploaded or entered into the Platform by any User, including Student documents and identification information.
- "GlobalSathi" means GlobalSathi.com, the internal administrative platform operated by UUG to manage and process information generated across UUG's operated platforms, including this Platform.
4.Eligibility
The Platform is intended for use by education agents, representatives and related authorised users acting in a professional or business capacity ("Agents"), and by Students to the limited extent a Student directly registers or accesses an account. Agent accounts are intended for adults (18 years or older) acting on behalf of a business, agency or themselves in a professional capacity, and are not intended for use by minors. Where a Student is a minor, the Student does not need to register their own account for their information to form part of an application; instead, the relevant Agent is responsible for obtaining appropriate authorisation as described in Section 8 and in our Privacy Policy. UUG may refuse, suspend or terminate access for any User who does not meet applicable eligibility requirements or who provides false information about their eligibility.
5.Account Registration and Security
- You must provide accurate, current and complete information when registering an account and must promptly update it if it changes.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, except to the extent such activity results from UUG's own fault or a security failure of the Platform itself.
- Accounts are intended for use by the registered Agent (and, where relevant, personnel duly authorised to act on that Agent's behalf under a single agency account); accounts must not be shared with, or transferred to, unrelated third parties.
- You must notify us promptly at info@uugglobal.com if you become aware of any suspected unauthorised access to, or use of, your account.
6.Licence to Use the Platform
Subject to your compliance with these Terms, UUG grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose — namely, submitting and managing Student applications in the ordinary course of your work as an education agent or representative. This licence does not grant you any ownership interest in the Platform, and UUG may suspend or revoke it at any time in accordance with these Terms.
7.Acceptable Use
When using the Platform, you must not:
- use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
- attempt to gain unauthorised access to the Platform, other accounts, or UUG's or GlobalSathi's systems, or otherwise attempt to hack, probe or bypass security measures;
- scrape, crawl, or extract data from the Platform other than through the functionality UUG has made available to you;
- upload or transmit viruses, malware, or other harmful code;
- impersonate any person or entity, or misrepresent your affiliation with any person, agency or Institution;
- submit a fraudulent application, forged or altered documents, or knowingly false or misleading information concerning a Student or an application;
- submit a Student's personal information or documents without the authority described in Section 8;
- interfere with or disrupt the proper operation of the Platform or the servers or networks connected to it; or
- infringe the intellectual property rights of UUG or any third party, or use the Platform to violate the privacy rights of any person.
We may investigate suspected violations of this Section and take appropriate action, including the actions described in Section 19 (Suspension and Termination).
8.Agent Responsibilities
As a condition of using the Platform to submit Student information and applications, each Agent represents, warrants and agrees that:
- the Agent is authorised to use the Platform and to act in the capacity in which they are registered (whether as an individual agent or on behalf of an agency);
- all information the Agent submits — about themselves, their agency, or any Student — is accurate and complete to the best of the Agent's knowledge at the time of submission, and the Agent will promptly correct or update it if it becomes inaccurate;
- before submitting any Student's personal information or documents, the Agent has lawfully obtained that Student's informed authorisation (or, where the Student is a minor or otherwise unable to consent, the authorisation of a parent, guardian, or other person legally entitled to act for the Student) to collect and submit that information for the relevant application or service;
- the Agent has appropriately informed the relevant Student of how their personal information will be handled, including that it will be submitted to UUG, processed through GlobalSathi, and shared with the relevant Institution and other organisations reasonably necessary to process the application, consistent with our Privacy Policy;
- the Agent will comply with all consent, notice and data-protection obligations applicable to the Agent under the law governing the Agent and/or the Student, in addition to these Terms;
- documents submitted by the Agent on a Student's behalf (including academic records, identification documents and supporting materials) are, to the best of the Agent's knowledge, genuine and have not been forged, altered or falsified;
- the Agent will not knowingly submit falsified, forged or materially misleading information or documents concerning any Student or application; and
- the Agent will use Student information obtained through, or submitted to, the Platform only for the legitimate purpose of the relevant education application or related service, and will not use it for any unrelated purpose.
UUG relies on these representations and, except where verification is genuinely part of the service being provided (for example, standard checks UUG or an Institution ordinarily performs when processing a particular type of application), does not independently verify every Agent's authority to act for a Student or the authenticity of every document submitted. If UUG suspects, or has reasonable grounds to believe, that an Agent has breached any representation in this Section — including by submitting Student information without proper authority, or by submitting falsified documents — UUG may, at its discretion and without liability to the Agent, suspend or terminate the Agent's account, decline to process or forward the relevant application, remove the relevant Content, and take any other action permitted under Section 19 or applicable law, including reporting suspected fraud to relevant authorities or Institutions where appropriate.
9.Student Applications
The Platform enables Agents to submit Student applications for consideration by one or more Institutions. In using the Platform for this purpose, Agents and Students acknowledge and agree that:
- submission of an application through the Platform does not guarantee that any Institution will offer admission, and UUG does not guarantee admission to any Institution;
- each Institution makes its own independent decision on any application, in accordance with its own admissions requirements, policies and procedures, which may change from time to time without notice to UUG;
- an application may require additional documents, information, interviews, tests or fees, as determined by the relevant Institution, and UUG is not responsible for an Institution's specific requirements;
- references on the Platform to particular Institutions, programmes or intakes are provided as a convenience and do not, by themselves, imply that UUG has an exclusive partnership or special relationship with every Institution referenced, beyond what UUG separately discloses; and
- UUG is not responsible for an Institution's independent decision on an application, or for any act or omission of an Institution, except to the extent UUG is found responsible under applicable Nepalese law for its own acts or omissions in facilitating the application.
10.Content and Uploaded Documents
Agents and Students (where applicable) retain ownership of documents and information they upload to the Platform ("Content"). By submitting Content, you grant UUG a limited, non-exclusive licence to store, process, reproduce, transmit and disclose that Content solely as reasonably necessary to operate the Platform and provide the Service described in these Terms and our Privacy Policy — in particular, to administer the application through GlobalSathi and to transmit it to the relevant Institution. This licence does not permit UUG to use Content for any unrelated commercial purpose, and ends once the Content is no longer reasonably needed for these purposes or is deleted in accordance with our data retention practices, subject to any legal or contractual retention requirement.
11.Intellectual Property
The Platform's design, software, look and feel, logos, trademarks, and other branding elements are owned by UUG or its licensors and are protected by applicable intellectual property laws. Except for the limited licence granted to you under Section 6, nothing in these Terms transfers any intellectual property right in the Platform to you. You must not copy, modify, reverse-engineer, or create derivative works of the Platform except as expressly permitted by law or by UUG in writing. UUG respects the intellectual property rights of others and expects Users to do the same in any Content they submit.
12.Third-Party Services
The Platform relies on third-party infrastructure and service providers (such as hosting and communication providers) to operate, as described in our Privacy Policy. While we take reasonable care in selecting and contracting with such providers, we do not guarantee the uninterrupted availability or performance of third-party services, and our liability in connection with them is subject to Section 21 (Limitation of Liability).
13.Fees, Payment, Cancellation and Refunds
Access to and use of the Platform is currently provided to Agents free of charge. Agents do not pay a fee to register an account or to submit Student applications through the Platform.
UUG may pay commission to an Agent in connection with successful Student placements or applications. The existence, amount, structure, and payment terms of any such commission are governed by a separate written agreement between UUG and the Agent, are outside the scope of these Terms, and are treated as confidential in accordance with Section 21 (Confidentiality).
UUG reserves the right to introduce fees for use of the Platform, or for specific features, in the future. If it does so, the applicable fees, payment method, billing cycle, and any cancellation or refund terms will be presented to the affected Agent in advance of any charge, will form part of these Terms for that transaction, and will be handled consistently with any mandatory rights available under Nepalese consumer-protection law.
14.Service Availability
We take reasonable steps to keep the Platform available and functioning properly, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. The Platform may be temporarily unavailable for maintenance, updates, or due to circumstances outside our reasonable control. We are not liable for reasonable interruptions to the Service, except where such liability cannot be excluded under applicable law.
15.Changes to Features
We may add, modify, or remove features of the Platform from time to time to improve the Service, respond to changing requirements, or for other legitimate business reasons. We will act reasonably in making such changes, including with respect to any specific contractual commitments we have made to an Agent or Institution, and consistently with applicable consumer-protection law.
16.Suspension and Termination
We may suspend or terminate an Agent's account or access to the Platform, in whole or in part, where we reasonably believe:
- the Agent has engaged in fraud, submission of falsified documents, or unlawful activity;
- the Agent has submitted a Student's information without proper authority, in breach of Section 8;
- the account poses a security risk to the Platform or to other Users;
- the Agent has otherwise materially breached these Terms; or
- (where applicable) required fees have not been paid.
Where reasonably practicable, we will provide notice of suspension or termination and the reason for it; however, we may act without prior notice where we reasonably believe urgent action is needed to prevent fraud, harm or security risk. Following termination, information already submitted may continue to be retained and processed in accordance with our Privacy Policy — including, where relevant, being retained for legal, administrative, or dispute-resolution purposes, or because it has already been shared with an Institution — even though the Agent's ongoing access to the Platform has ended.
17.Disclaimers
The Platform and Service are provided on an "as available" basis. To the maximum extent permitted by applicable Nepalese law, UUG disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement in connection with the Platform. UUG does not warrant or guarantee that any Student application will be successful, that any Institution will admit any Student, or that any information provided by an Agent or Institution is accurate, except to the extent UUG itself is responsible for that information under these Terms and our Privacy Policy. Nothing in this Section excludes or limits any right or remedy that cannot lawfully be excluded or limited under Nepalese consumer-protection law.
18.Limitation of Liability
To the maximum extent permitted by applicable Nepalese law, UUG's aggregate liability to any Agent arising out of or in connection with these Terms or use of the Platform, whether in contract, tort or otherwise, is limited to direct damages actually and reasonably incurred, and UUG is not liable for indirect, incidental, special, or consequential loss (including loss of profits, business or reputation) arising from use of the Platform. This limitation does not apply to, and nothing in these Terms excludes or limits, liability arising from fraud, wilful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited under the laws of Nepal.
19.Indemnification
You agree to indemnify and hold UUG harmless from reasonable claims, losses, and expenses (including reasonable legal costs) arising from: your unlawful use of the Platform; your infringement of a third party's rights; a fraudulent, forged, or knowingly false submission you make; a breach of the representations and warranties in Section 8 (Agent Responsibilities); or your unauthorised disclosure or submission of a Student's or any other person's personal information without proper authority. This obligation applies to the extent the relevant claim, loss or expense results from your own act, omission or breach, and does not require you to indemnify UUG for UUG's own fraud, wilful misconduct, or breach of these Terms.
20.Privacy
Our collection, use and disclosure of personal information through the Platform is described in our Privacy Policy for InCountryRepresentative.com, which forms part of these Terms. By using the Platform, you also agree to that Privacy Policy.
21.Confidentiality
Student and application information handled through the Platform is often sensitive and confidential. Agents must handle Student information they access through the Platform (including identification details, academic records, and application correspondence) as confidential, must not disclose it to any person who does not have a legitimate need to know it for the purpose of the relevant application, and must take reasonable steps to protect it against unauthorised access or disclosure while it is within the Agent's own systems or possession. UUG likewise treats Student and Agent information as confidential and handles it in accordance with our Privacy Policy and applicable law. Any commission or fee arrangement between UUG and an Agent under Section 13 is also confidential and must not be disclosed by either party except as required by law or with the other party's consent.
22.Governing Law
These Terms, and any dispute arising out of or in connection with them or the Platform, are governed by the laws of Nepal.
23.Disputes and Jurisdiction
The parties will first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith discussion between the Agent and UUG. If a dispute cannot be resolved in this way within a reasonable period, it will be subject to the exclusive jurisdiction of the competent courts of Kathmandu, Nepal, without prejudice to any mandatory consumer-protection right that entitles a User to bring proceedings in another forum under applicable law.
24.Force Majeure
UUG is not liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond its reasonable control, including natural disasters, war, civil unrest, governmental action, internet or telecommunications failures, power outages, or failures of third-party service providers.
25.Severability
If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
26.No Waiver
A failure or delay by UUG to enforce any provision of these Terms is not a waiver of UUG's right to enforce that or any other provision later.
27.Assignment
You may not assign or transfer your rights or obligations under these Terms without UUG's prior written consent. UUG may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets, subject to applicable law, and will take reasonable steps to notify affected Agents where such a transfer materially affects their rights under these Terms.
28.Entire Agreement
These Terms, together with our Privacy Policy for InCountryRepresentative.com and any specific terms presented to you for a particular paid service, constitute the entire agreement between you and UUG regarding use of the Platform, and supersede any prior agreements or understandings on that subject, except where a separate signed agreement between you and UUG expressly states otherwise.
29.Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, our practices, or applicable law. The "Last Updated" date at the top of these Terms will be revised when changes are made. Where a change is material, we will take reasonable steps to notify registered Agents (for example, by notice on the Platform or by email) before, or as soon as reasonably practicable after, the change takes effect. Continued use of the Platform after a revised version of these Terms takes effect constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
